Terms and Conditions

These terms govern all freight, warehousing, and supply chain services provided by AWAN LOGISTICS LTD. Effective date: 1 January 2024.

1. Service Agreements

All freight transportation, cargo delivery, global shipping, warehousing, and supply chain services are provided subject to a written or electronic service order accepted by AWAN LOGISTICS LTD.

Service scope, trade lanes, transit timeframes, and cargo specifications are defined in the applicable shipment order. Verbal commitments not reflected in a confirmed order carry no contractual weight.

2. Payment Terms

Invoices are payable within 30 days of the invoice date unless a separate payment schedule is agreed in writing. Freight charges, customs duties, port fees, and applicable surcharges are itemised per shipment.

Outstanding balances beyond 30 days accrue interest at 8% per annum above the Bank of England base rate. AWAN reserves the right to suspend active shipments pending resolution of overdue accounts.

3. Liability and Cargo Insurance

AWAN's liability for loss or damage to cargo is limited to the lesser of the actual verified value or applicable international convention limits (CMR, Hague-Visby, Montreal Convention) per the shipment mode.

Clients requiring coverage above convention limits must arrange supplemental cargo insurance prior to shipment dispatch. AWAN does not carry open-cover insurance on behalf of clients unless expressly contracted.

4. Customs and Regulatory Compliance

The client is responsible for ensuring all export and import documentation is accurate, complete, and compliant with the regulations of origin and destination jurisdictions before tendering cargo.

AWAN will act as customs agent where contracted to do so. Delays, fines, or storage charges arising from incomplete or inaccurate documentation provided by the client are the client's liability.

5. Force Majeure and Customs Delays

AWAN is not liable for delays or non-performance caused by events outside its reasonable control, including port closures, strikes, natural disasters, government embargoes, pandemic restrictions, or acts of war.

Customs delays attributable to border authority actions, random inspections, or regulatory holds at ports of entry do not constitute a breach of AWAN's delivery obligations under any service agreement.

AWAN will notify the client in writing within 24 hours of identifying a force majeure event affecting an active shipment and will provide a revised estimated delivery window as soon as operationally possible.

6. Client Obligations

Clients must provide accurate cargo descriptions, weight declarations, hazardous material classifications, and consignee details at the time of booking. Misdeclaration may result in immediate suspension of the shipment and full cost recovery.

Clients are responsible for ensuring cargo is adequately packaged to withstand international transit conditions. AWAN will not accept liability for damage attributable to insufficient packaging presented at origin.

7. Governing Law and Disputes

These terms are governed exclusively by the laws of England and Wales. Any dispute arising from or relating to these terms or any service agreement will be subject to the exclusive jurisdiction of the English courts.

Prior to initiating formal proceedings, both parties agree to attempt resolution through written escalation to a senior representative within 14 days of the dispute being raised in writing.

8. Amendments and Severability

AWAN reserves the right to amend these terms at any time. Clients will be notified of material changes by email at least 14 days before they take effect. Continued use of AWAN's services constitutes acceptance.

If any provision of these terms is found unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force. The unenforceable clause will be modified to the minimum extent necessary.
